Article 3 Contract Deposit, Rental, Lease-related Expenses and Taxes:

3. Party B's modification of the leased property shall be subject to Party A's written consent, and the cost of the transformation shall be borne by Party B itself. Without modification, Party B shall be liable for damages if Party A causes losses.

Article 5 Transfer and Sublease of Houses:

1. During the lease period, Party A has the right to transfer the leased property in accordance with legal procedures; Party A shall sell the house one month prior to the written notice to Party B. Under the same conditions, Party B shall have the right of first refusal.

2. With the consent of Party A, Party B may sublease the leased property to a third party. The conditions and procedures for sub-lease are negotiated by both parties.

Article 6 The two parties guarantee the terms:

1. Party A guarantees the normal use and safety of the equipment and facilities listed in this contract and the “Auxiliary Facilities List” and related public facilities such as lighting, water supply, and fire protection.

2. Party A guarantees to provide the parking space that meets Party B's business needs according to the requirements of Party B, and to ensure the normal use of the parking space.

3. Party B shall ensure that it has a legitimate business qualification and shall not operate without a license or engage in illegal operations.

4. Party B guarantees that the kitchen will not be arranged in the shopping mall and will not destroy all facilities and equipment in the shopping mall.

Article 7 Discharge of the Contract:

1. In any of the following circumstances, either Party A or Party B may terminate this contract:

(1) The statutory force majeure causes the contract to continue to be performed.

(2) The government's unified plan or natural disaster caused the contract to continue to perform.

(3) One of the business licenses was revoked or ordered to be closed.

(4) Any party breaches the contract, resulting in the inability to achieve the purpose of the contract.

2. In one of the following circumstances, Party A may terminate this contract, but Party B shall notify Party B in writing:

(1) Party B maliciously defaulted or did not pay the due rent.

(2) Party B uses the lease item for illegal activities.

(3) Party B did not sublet the rent without the consent of Party A.

3. In any of the following circumstances, Party B may terminate this contract, but Party A shall notify Party A in writing:

(1) Party A fails to provide the corresponding facilities and equipment or the provided facilities and equipment in accordance with the contract cannot meet the normal use requirements of Party B's operations.

(2) Party A's other breach of contract resulted in the inability of the contract to be realized or the contract could not be continued.

Article 8 Liability for breach of contract:

Violation of the contents of this contract shall be subject to breach of contract damages: _____ yuan, if caused by the other party's losses, it shall also bear the corresponding liability.

Article 9 Dispute Resolution:

The matters not covered in this contract shall be negotiated and determined by both parties. The contents of the agreement shall be attached to this contract and shall have the same effect as this contract. Any dispute arising from the performance of this contract shall be settled through consultation between the two parties. If no agreement is reached, a lawsuit shall be brought to the people's court.

When signing this contract, Party A should provide the real estate license (or a valid certificate with rental rights), identification (business license) and other documents, and Party B should provide corresponding certification documents.
